The KadePay Jingle Challenge

Official Rules & Guidelines

3.2  Tie-Breaking

In the event of a tie, the entry with the higher Chorus Impact & Memorability score will advance. If scores remain equal, the KadePay Brand Team will cast a deciding vote.

3.3  Judge Independence

KadePay reserves the right to appoint external guest judges. No judge may evaluate an entry submitted by an immediate family member or personal acquaintance.

 

4. Prize

 

4.1  Grand Prize

One (1) Grand Prize will be awarded, consisting of:

  • Apple iPad, 10th Generation, Wi-Fi, 64 GB

  • Winner Announcement Feature: a dedicated KadePay blog post spotlighting the winner, their jingle, and their story

  • Social Media Promotion: winner announcement published across all KadePay social media channels, including but not limited to LinkedIn, Instagram, and Facebook

  • Permanent Credit: winner’s name (or chosen pseudonym) credited as jingle creator in any KadePay marketing materials that use the winning jingle

 

4.2  Prize Conditions

  • No cash equivalent or substitution of prize is permitted at winner’s request

  • KadePay reserves the right to substitute a prize of equal or greater value if the stated prize becomes unavailable

  • Prize will be shipped at KadePay’s expense to a valid U.S. or Canadian address

  • Winner must respond to prize notification within 7 calendar days or the prize will be forfeited and an alternate winner selected

 

5. Legal Terms

 

Article I — Intellectual Property & Rights Assignment

 

Section 1.1 — Assignment of IP

By submitting an entry, entrant irrevocably assigns, transfers, and conveys to Circles Pay, Inc. (“KadePay”) all right, title, and interest — including all intellectual property rights — in and to the submitted entry, including but not limited to the musical composition, lyrics, sound recording, melody, arrangement, and any other creative elements therein (“Submission”). This assignment takes effect upon the act of submission and is effective worldwide, in perpetuity, and royalty-free.

Section 1.2 — Scope of Rights

KadePay’s rights include without limitation the right to reproduce, distribute, publicly perform, publicly display, create derivative works of, broadcast, stream, synchronize with video or other media, adapt, edit, excerpt, translate, and otherwise use the Submission in any and all media now known or hereafter devised, for any commercial or non-commercial purpose, without further compensation to entrant beyond the stated prize.

 

Section 1.3 — Moral Rights Waiver

To the fullest extent permitted by applicable law, entrant waives any and all moral rights, rights of attribution, and rights of integrity with respect to the Submission.

 

Section 1.4 — Originality Warranty

Entrant represents and warrants that: (a) the Submission was created solely by entrant (with the assistance of AI tools where applicable, per Section 2.1); (b) entrant has full right and authority to make this assignment; (c) the Submission does not and will not infringe any third-party copyright, trademark, trade secret, right of publicity, or other proprietary right; and (d) the Submission contains no samples, interpolations, or elements derived from any third-party copyrighted work without a fully paid, irrevocable license permitting the assignment described herein.

 

Section 1.5 — Non-Winning Entries

All entries — including non-winning entries — are assigned to KadePay upon submission per Section 1.1. KadePay is not obligated to use any non-winning entry but retains the right to do so.

 

Article II — Representations & Warranties

 

Section 2.1

Entrant further represents and warrants that: (a) entrant meets all eligibility requirements set forth in Section 2; (b) all information provided in the submission form is accurate and complete; and (c) entrant is not bound by any agreement that would prohibit or restrict entry into this contest.

 

Article III — Indemnification

 

Section 3.1

Entrant agrees to defend, indemnify, and hold harmless Circles Pay, Inc. (“KadePay”), its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any breach of the representations and warranties in Articles I and II; (b) any claim by a third party that the Submission infringes such third party’s intellectual property or other rights; or (c) entrant’s participation in the contest.

 

Article IV — Privacy & Data

 

Section 4.1

KadePay will collect and use entrant’s personal information (name, email address) solely for the purpose of administering the contest and, for the winner, fulfilling the prize and public announcement obligations described in Section 4. KadePay will not sell entrant data to third parties. KadePay’s Privacy Policy governs the handling of all personal data and is available at https://www.kadepay.com/privacy-policy

 

Article V — Disqualification

 

Section 5.1

KadePay reserves the right to disqualify any entry and/or entrant for any of the following reasons:

  • Failure to meet eligibility requirements

  • Submission that does not meet technical specifications

  • Evidence of plagiarism, unauthorized sampling, or third-party IP infringement

  • Submission containing offensive, defamatory, or illegal content

  • Fraudulent, misleading, or incomplete submission information

  • Any attempt to manipulate the judging process

 

Article VI — Contest Modification & Cancellation

 

Section 6.1

KadePay reserves the right, in its sole discretion, to cancel, suspend, modify, or terminate the contest at any time without prior notice. In the event of cancellation, no prize will be awarded unless a winner has already been selected and notified prior to cancellation.

 

Article VII — Dispute Resolution

 

Section 7.1

Any dispute, claim, or controversy arising out of or relating to these Official Rules or the contest will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in [KadePay headquarters state]. Entrant waives the right to participate in any class action or representative proceeding.

 

Article VIII — Governing Law

 

Section 8.1

These Official Rules are governed by the laws of the State of New York, without regard to its conflict of law provisions.

 

Article IX — Limitation of Liability

Section 9.1

KadePay’s liability to any entrant is limited to the fair market value of the prize. In no event shall KadePay be liable for indirect, consequential, special, or punitive damages of any kind arising from or related to the contest or these Official Rules.

 

Article X — Sponsor

 

Section 10.1

This contest is sponsored by Circles Pay, Inc., d/b/a KadePay, 8 The Green, Dover, DE, 19901. For questions about the contest, contact: support@kadepay.com.

Exhibit A — Entry Agreement

​

KADEPAY JINGLE CHALLENGE — ENTRY AGREEMENT

 

By submitting an entry to the KadePay Jingle Challenge, I confirm and agree to all of the following:

 

  1. I have read and agree to the KadePay Jingle Challenge Official Rules in their entirety.

  2. I meet all eligibility requirements described in Section 2 of the Official Rules.

  3. The submitted jingle is my own work. It does not contain any samples, elements, or compositions belonging to third parties (AI-assisted or AI-generated content is permitted, per Section 2.1).

  4. I assign all intellectual property rights in my submission to Circles Pay, Inc. (d/b/a KadePay), as described in Article I of the Official Rules, effective upon submission.

  5. I waive any moral rights in the submission to the fullest extent permitted by law.

  6. I authorize KadePay to use my name, likeness, and a summary of my submission for promotional purposes related to the contest, without further compensation.

  7. I understand that all submissions — including non-winning entries — become the property of KadePay upon submission.

​1. Submission Requirements

​

1.1  Audio Specifications

  • Format: MP3 or WAV (MP3 minimum 192 kbps; WAV 44.1 kHz / 16-bit or higher)

  • Total length: 25–35 seconds (entries outside this range will be disqualified)

  • Chorus segment: must not exceed 8 seconds when isolated

  • Audio must be clearly produced — professional studio quality is not required, but the recording must be intelligible and free of excessive distortion or clipping

  • Stereo or mono both accepted

 

1.2  Required Submission Materials

  1. Audio file meeting specifications in Section 1.1

  2. Full lyrics / written transcript of the jingle

  3. Timestamp clearly marking the start and end of the chorus (e.g., “Chorus: 0:12 – 0:20”)

  4. Entrant full legal name

  5. Contact email address

  6. Confirmation that the entry is entirely original (no samples or licensed music; AI-assisted or AI-generated music is permitted)

  7. Signed KadePay Jingle Challenge Entry Agreement (Exhibit A)

 

1.3  Submission Method

https://www.kadepay.com/kadepay-jingle-challenge Submissions must be received by July 24, 2026, at 11:59 PM Eastern Time. Late submissions will not be accepted under any circumstances.

1.4  Submission Limits

Each eligible entrant may submit a maximum of three (3) entries. Each entry must be a distinct, original jingle — variations or remixes of a previously submitted entry do not qualify as a separate entry.

2. Eligibility

 

2.1  Who May Enter

  • Must be 18 years of age or older at time of submission

  • Legal residents of the United States or Canada (void where prohibited)

  • Individual entrants only — collaborative group entries are permitted provided one individual is designated the sole contact and prize recipient

  • Entry is open to amateur and professional musicians alike

  • Use of AI tools to assist with or generate music, lyrics, or production is permitted

 

2.2  Who May NOT Enter

  • Employees, contractors, officers, or directors of Circles Pay, Inc. (d/b/a KadePay) and its affiliates, subsidiaries, advertising and promotion agencies

  • Immediate family members (spouse, parent, sibling, child) or household members of any of the above

  • Any individual who has a current or pending contractual relationship with KadePay that restricts participation

 

3. Judging Criteria
